Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 19, 2008, David M. Otto resigned from the Board of Directors (the “Board”) of River Hawk Aviation, Inc. (the “Company”).  Mr. Otto resigned from the Board in order to focus on, and pursue, business opportunities independent of the Company for reasons which do not arise from any disagreement on any matter relating to the Company’s operations, policies or practices, or regarding the general direction of the Company.
