Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On May 24, 2006, the Board of Directors of Sun New Media, Inc. (the “Registrant”) elected Mr. Mark Newburg to serve on the Board of Directors of the Registrant and as Chairman of its Audit Committee. The Board of Directors has determined that Mr. Newburg is an independent director. Mr. Newburg’s appointment became effective on May 31, 2006.
The press release announcing Mr. Newburg’s appointment is attached hereto as Exhibit 99.1.
