Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On October 13, 2006, Sun New Media, Inc. (the “Company”) issued a press release, which is attached hereto as Exhibit 99.1, announcing that on October 11, 2006, the Company’s Board of Directors accepted the resignation of Dr. Herbert Kloiber as a member of the Company’s board of directors.
     The resignation did not result from any disagreement with the Company concerning any matter relating to the Company’s operations, policies or practices. Dr. Kloiber chose to step down in order to focus on his other business responsibilities, specifically those in Germany.
