The issuer repaid the contribution of shares in part on December 3, 2004 by issuing the reporting person 3,000,000 shares, and inends to repay the reporting person 6,600,000 shares when enough shares are available to repay the reporting person. The reporting person disclaims beneficial ownership of the shares to be repaid. Excludes 5,023,833 shares the issuer is obligated to issue to the reporting person in connection with that certain Offer to Purchase Franchise Support Network, Inc. between the issuer and the reporting person. These shares were valued at the market price of $.03 per share as of May 7, 2001, the date of the offer.
