Item 1.01. Entry into a Material Definitive Agreement.

On April 30, 2008, the company and Rite Aid Corporation (“Rite Aid”) executed a letter agreement amending the Main Agreement between drugstore.com and Rite Aid, dated as of June 17, 1999, extending the notification deadline for nonrenewal to July 17, 2008.
