     This Current Report on Form 8-K/A (Amendment No. 1) of Wm. Wrigley Jr. Company (the “Company”) amends and supplements the Current Report on Form 8-K that the Company filed with the Securities and Exchange Commission on May 19, 2008 to add the following information.

ITEM 1.01 Entry into a Material Definitive Agreement

     On May 13, 2008, the Compensation Committee of the Company approved the Amended Restricted Stock Program (the “Restricted Stock Program”). As amended, restricted stock unit awards granted on or after May 12, 2008 will not be covered by the general rule that, upon a change of control (as defined under the Restricted Stock Program), all outstanding awards under the Restricted Stock Program immediately become vested in full.
