Item 1.01. Entry into a Material Definitive Agreement

On February 12, 2009, TIBCO Software Inc. (“TIBCO”) adopted the TIBCO Software Inc. 2009 Deferred Compensation Plan (the “Plan”). Pursuant to the Plan, eligible participants may elect to defer certain cash compensation into restricted stock units. The restricted stock units will be settled in TIBCO common stock at the end of the elected deferral period.
