(e) Compensatory Arrangements of Certain Officers.

FY 2009 TIBCO Executive Incentive Compensation Plan

On December 19, 2008, the Compensation Committee of the Board of Directors of TIBCO Software Inc. (the “Committee”) approved the terms of the FY 2009 TIBCO Executive Incentive Compensation Plan (the “EICP”). The EICP provides for the payment of cash bonuses to eligible Section 16 Officers based on the attainment of certain corporate performance criteria established by the Committee. There is also a discretionary component to the EICP which permits the Committee to award cash bonuses based on individual performance.

A description of the EICP is filed herewith as Exhibit 99.1.

FY 2009 TIBCO Spotfire Executive Incentive Compensation Plan

On December 19, 2008, the Committee approved the terms of the FY 2009 TIBCO Spotfire Executive Incentive Compensation Plan (the “Spotfire EICP”). The Spotfire EICP provides for the payment of cash bonuses to eligible executives in the Spotfire group, including Christopher Ahlberg, a Section 16 Officer of TIBCO Software Inc., based on the attainment of certain corporate performance criteria established by the Committee. There is also a discretionary component to the Spotfire EICP which permits the Committee to award cash bonuses based on individual performance.

A description of the Spotfire EICP is filed herewith as Exhibit 99.2.
