On April 16, 2008, the Board of Directors of TIBCO Software Inc. (the “Company”) accepted the resignation of Bernard J. Bourigeaud.

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On April 16, 2008, the Board of Directors of the Company amended Article III, Section 3.2 of the Company’s bylaws to decrease the size of the Board of Directors from six to five. The amendment reflects the fact that the Board of Directors accepted Mr. Bourigeaud’s resignation.

The Company’s Amended and Restated By-Laws are attached as Exhibit 3.1 to this Current Report on Form 8-K.
