Item 7.01. Regulation FD Disclosure.

       On September 26, 2023, Worthington Industries, Inc. (the “Company”) issued a press release, a copy of which is furnished herewith as Exhibit 99.1, containing certain updates related to the Company’s previously announced plan to separate into two independent, publicly traded companies (the “Planned Separation”). In such release, the Company announced the names and branding for the two companies resulting from the Planned Separation, which may occur as early as December 2023. Worthington Enterprises, to be headquartered in Columbus, Ohio, will include the Company’s Consumer Products, Building Products and Sustainable Energy Solutions businesses. Worthington Steel, also to be headquartered in Columbus, Ohio, will be comprised of the Company’s Steel Processing business. Completion of the Planned Separation is subject to, among other things, general market conditions, finalization of the capital structure of the two companies, completion of steps necessary to qualify the Planned Separation as a tax-free transaction, receipt of regulatory approvals and final approval by the Company’s Board of Directors. The Company may, at any time and for any reason until the proposed transaction is complete, abandon the Planned Separation or modify or change its terms, including the individual businesses and components of each of the two companies. There can be no assurance regarding the ultimate timing of the Planned Separation or that the Planned Separation will ultimately occur.

       The Company also announced it will host, on October 11, 2023 in New York City, an Investor and Analyst Day related to the Planned Separation. The Company’s Worthington Enterprises executive management team will deliver presentations beginning at 9:30 a.m. ET, with the Worthington Steel executive management team presenting at 1:00 p.m. ET.

Worthington Industries Reveals New Company Identities Ahead of Anticipated December Separation; Announces 2023 Investor and Analyst Day

COLUMBUS, Ohio, Sept. 26, 2023 (GLOBE NEWSWIRE) -- Worthington Industries, Inc. (NYSE: WOR), a leading industrial manufacturing company, today announced the names and branding for the two companies resulting from the planned separation. Worthington Enterprises will include the Company’s Building Products, Consumer Products and Sustainable Energy Solutions businesses. Worthington Steel will be the Company’s Steel Processing business. The separation is expected to occur as early as December 2023, ahead of the originally projected timing of early 2024.

The Worthington Enterprises name represents the organization’s strong heritage, entrepreneurial spirit, and market-leading brands and innovative products that improve lives.
