     Registrant  is  unable  to  file  its  Form  10K  timely because of certain
subsequent  events that have taken place only this week and which may need to be
disclosed  both  in  the  Financials  and  in  the  narrative.  It  has not been
practical to circulate the information to all directors and accountants and have
any  necessary  changes or additions reviewed by all necessary parties such that
the  form  could  be  filed  timely.
