-Closure of Harry & David Retail Stores

On

April 14, 2020,

the Company made the strategic decision to permanently close

Harry & David branded stores, which had previously been closed on a temporary basis due to COVID-

19,

in accordance with state and local regulations. This will result in a charge within the range of
