Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 16, 2023, Tim Brackney notified Resources Connection, Inc. (the “Company”) of his resignation as President and Chief Operating Officer of the Company effective October 1, 2023. The Company is evaluating its organizational structure and expects to appoint one or more individuals to succeed Mr. Brackney and assume his current responsibilities on a permanent basis. The Company plans to initiate a search for these positions and will consider both internal and external candidates.

Kate Duchene, the Company’s President and Chief Executive Officer will assume the management responsibilities of Mr. Brackney’s position as the Company’s principal operating officer on an interim basis, with the Go-To-Market function reporting directly to Ms. Duchene until a successor or successors are appointed. Biographical and other information regarding Ms. Duchene is included under “Proposal 1: Election of Directors” in the Company’s Definitive Proxy Statement on Schedule 14A filed with the SEC on September 6, 2022, which information is incorporated herein by reference.
