Explanation of Responses:

1. In a privately negotiated transaction, the Atlantic Investors, LLC ("Atlantic") acquired 47,168 shares from Hewlett-Packard Financial Services Company wiht each purchased share of the Issuer's common stock having a price per share of $3.50. Atlantic controls ClearBlue Finance, Inc. (CBF"), ClearBlue Technologies, Inc. ("CBT") and ClearBlue Atlantic, LLC ("CBA")(collectively, the "Controlled Entities") and the Controlled Entities in the aggregate own 19,201,825 shares. See footnote 2

2. Of such shares, 10,559,248 are held by CBF, 567,978 are held by CBT and 8,110,599 are held by CBA. Atlantic may be deemed the beneficial owner of shares.
