Item 8.01.                Other Events.

 

On March 9, 2017 and March 10, 2017, Pareteum Corporation (the “Company”) received conversion notices from holders of an aggregate of $720,000, or 72 shares, of the Company’s Series A Convertible Preferred Stock and Series A-1 Convertible Preferred Stock (the “Preferred Shares”).  The Preferred Shares shall convert into shares of common stock, $0.00001 par value per share, of the Company at a 13% discount to a public offering and shall become effective upon the filing by the Company of a prospectus supplement disclosing the terms of an offering.
