Item 8.01.      Other Events.

 

In June 2019, Gopher Protocol, Inc. converted its Series AAAA Preferred Stock into 80 million shares of common stock and 120 million warrants. On August 1, 2019, the 120 million warrants were exchanged for 20 million shares of restricted common stock. As a result of the June 2019 conversion, all Series AAAA Preferred Stock are no longer outstanding.
