Item 1.01.
Entry into a Material Definitive Agreement.

Eleventh Amendment to Amended and Restated Revolving Credit Facility

On November 9th, 2023, World Acceptance Corporation (the “Company”) entered into the Eleventh Amendment to its Amended and Restated Revolving Credit Agreement (the “Eleventh Amendment”), among the Company, the lenders named therein, and Wells Fargo Bank, National Association, as Administrative Agent and Collateral Agent.

The Eleventh Amendment amends the Company’s Amended and Restated Revolving Credit Agreement to a) permit the Company to repurchase up to $20 million of Company securities in its fiscal quarter ending December 31, 2023 and, b) exclude the applicable ratio of Net Income Available for Fixed Charges to Fixed Charges for the fiscal quarter ending September 30, 2023.

Item 8.01. Other Events

On November 9, 2023, the Board of Directors of World Acceptance Corporation (the “Company”) approved a share repurchase program authorizing the Company to repurchase up to $20.0 million of its outstanding common stock inclusive of any amount that remains available for repurchase under prior repurchase authorizations. The timing and actual number of shares repurchased will depend on a variety of factors, including the stock price, corporate and regulatory requirements, available funds, alternative uses of capital, restrictions under the Revolving Credit Agreement, and other market and economic conditions. The Company’s stock repurchase program may be suspended or discontinued at any time.
