Item 8.01 Other Events.

On September 19, 2008, Fauquier Bankshares, Inc. (the "Company") issued a news release announcing that its Chairman, C. H. Lawrence Jr., will retire on December 31, 2009. The Company also stated that John B. Adams Jr., the Company’s current Vice Chairman, has been selected by the Company’s Board to assume the chairmanship upon Mr. Lawrence's retirement.

A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K.
