Item 8.01 - Other Events

Effective November 15, 2005, Klondike Star Mineral Corporation issued a Private Placement Memorandum offering 4,000,000 common shares at $2.75 per share for projected proceeds of $11,000,000 in common stock with one warrant attached to each share for the purchase of common shares at a minimum of $3.50 per share for potential future proceeds of $14,000,000. The Memorandum expired November 30, 2006. A total of 4,332,982 common shares, along with the right to exercise 4,332,982 warrants for the purchase of common shares, were purchased with total proceeds of USD $11,915,700.
