within the prescribed time period.

     The Company did not file its Form 10-QSB within the prescribed time period
as a result of the Company having reduced the number of personnel available to
provide complete and accurate financial and other information and supporting
documentation that was reduced even further by the time its management spent in
consummating its recently announced transaction with Rentar Environmental
Solutions, Inc.
