The gift was made pursuant to an agreement entered into on November 21, 2025 which provided that the number of stock options to be gifted would be based on set formula using a valuation to be conducted on April 1, 2026. The actual number of stock options to be gifted was determined on April 1, 2026 and the gift occurred on the same date. No funds were exchanged, and no sale of shares occurred in the gift.
