Each restricted stock unit represents the right to acquire one share of common stock of the Issuer. The restricted stock units awarded to the Reporting Person on January 24, 2013 exceeded the number of shares of common stock reserved for issuance under the Issuer's Amended and Restated 1999 Directors' Equity Compensation Plan (the "Plan"). Pursuant to a written letter agreement between the Issuer and the Reporting Person, the restricted stock units were cancelled and rescinded as of June 19, 2013. Subject to stockholder approval of an amendment to the Plan to increase the number of shares available for grant thereunder, the Issuer will grant the Reporting Person a replacement award. In the event stockholder approval of an amendment to the Plan is not obtained at the Company's 2013 Annual Meeting of Stockholders, the Company will provide the Reporting Person with a cash payment in lieu of such replacement award.
