Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective April 28, 2005, Stephen Zelnick, Esq., resigned as a member of the Board of Directors (the “Board”) of DAG Media, Inc. (the “Company”) as a result of the demands of his professional practice. Mr. Zelnick was a member of the Compensation Committee of the Board and had served as a Director of the Company since July 2000.
