EXPLANATORY NOTE

On June 20, 2007, George Foreman Enterprises, Inc. (the “Company”) filed a current report on Form 8-K reporting the engagement, on June 14, 2007, of the accounting firm of Parente Randolph, LLC (“Parente”) as the Company’s independent public accountants to audit the Company’s financial statements for the fiscal year ending December 31, 2006. On June 22, 2007, Parente, having been provided with a copy of such Form 8-K prior to its filing, furnished a letter confirming Parente’s agreement with the statements made by the Company in Item 4.01(b) of such Form 8-K, and in this Amendment thereto. A copy of such letter is attached as Exhibit 16.1 hereto.
