Explanation of Responses:

1. Net issuance of shares to the issuer by the reporting person to cover the reporting person's tax withholding obligations in connection with the vesting of 16,433 shares of restricted stock.

2. Mr. Clark received a restricted stock award of 41,626 shares of the Company's common stock. One-third of the restrictions on the restricted stock will lapse on each of the first, second and third anniversaries of the grant date, subject to Mr. Clark's continuing employment with the Company.

3. One-third of the options vest on the first anniversary of the grant date and the remaining two-thirds vest in substantially equal installments on a monthly basis over the following two years, subject to Mr. Clark's continuing employment with the Company.
