Item 8.01 Other Events.

On December 15, 2017, Umpqua Holdings Corporation announced that its Board of Directors approved a quarterly cash dividend of $0.18 per common share. The dividend is payable on January 15, 2018, to shareholders of record as of December 29, 2017.
