Item 2.06 Material Impairments.

On December 16, 2008, GenTek Inc. (the "Company") decided, for global customer clarity and operating efficiencies, to cease using certain trademarks and trade names it currently utilizes in its Valve Actuation Systems business, and operate the business solely and exclusively under the trademark "GT Technologies." Accordingly, the Company determined that this change will result in a non-cash impairment charge of $12 Million relating to existing trademarks that will no longer be used. The Company expects this transition to be completed in 2009.
