Related Party Transactions with Directors

Mr. Cronin served as a director between November 2023 and September 2024 when he was appointed our Interim Chief Technology Officer. Mr. Cronin is an experienced inventor and intellectual property strategist. Mr. Cronin is Chairman and CEO of ipCapital Group, Inc. The Company has recorded expenses with ipCapital Group of approximately $50,000 and $163,000, respectively in professional fees during the three months ended March 31, 2025 and 2024. The Company has recorded expenses with ipCapital Group of approximately $238,594 and $264,000, respectively in professional fees during the six months ended March 31, 2025 and 2024.
