CONTANGO ANNOUNCES PRIVATE PLACEMENT OF CONTINGENT

CONVERTIBLE PREFERRED STOCK

HOUSTON, Oct. 31, 2019 (GLOBE NEWSWIRE) – Contango Oil & Gas Company (NYSE American: MCF) (“Contango” or the “Company”) today announced the execution of an agreement with a select group of institutional and accredited investors to sell 1,102,838 shares of Series B Contingent Convertible Preferred Stock in a private placement. The Company expects to receive gross proceeds of approximately $22 million, which will be used to fund a portion of the purchase price and related transaction expenses for the previously announced pending acquisition of certain oil and gas properties from White Star Petroleum LLC and certain of its affiliates (the “Pending Acquisition”) that is due at closing, which is currently expected to occur on November 1, 2019. If the Pending Acquisition is not consummated, the Company intends to use the proceeds for general corporate purposes, including funding future potential acquisitions or a portion of its 2019 capital program.
