Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective August 1, 2009, Ecosphere Technologies, Inc. (“Ecosphere”) appointed Dennis McGuire, Ecosphere’s founder, to again serve as its Chief Executive Officer. Patrick Haskell has resigned as Chief Executive Officer but will remain with Ecosphere as Executive Chairman of the Board.

Since October 2005, Mr. McGuire has been President and since November 12, 2008, Mr. McGuire has been the Chief Technology Officer of Ecosphere. From June 17, 2008 until November 12, 2008, Mr. McGuire was the Co-Chief Executive Officer of Ecosphere, sharing the role with Mr. Haskell. Mr. McGuire became President and Chief Executive Officer of Ecosphere in October 2005. Mr. McGuire is a founder of Ecosphere and the inventor of all of our intellectual property.
