Item 8.01 Other Events.

John Wiley & Sons, Inc. (the “Company”) issued a press release on Monday, June 26, 2023 announcing that it has raised its quarterly cash dividend to $0.3500 per share, payable on July 20, 2023, to shareholders of record of Class A and Class B Common Stock as of July 6, 2023. The quarterly dividend is equivalent to an annual dividend of $1.40 per share, an increase from $1.39 per share in Fiscal 2023.
