Vision Capital Advisors, LLC (the "Investment Manager") serves as investment manager to Vision Opportunity Master Fund, Ltd. (the "Fund"), the direct owner of the subject securities. Adam Benowitz is the managing member of the Investment Manager and the Fund's portfolio manager. Each Reporting Person disclaims beneficial ownership of all securities reported herein, except to the extent of their pecuniary interest therein, if any, and this report shall not be deemed an admission that such Reporting Person is the beneficial owner of the shares for purposes of Section 16 of the Securities and Exchange Act of 1934 or for any other purpose. The shares of Common Stock and the Warrants were acquired from the Issuer in a private placement transaction. The Warrants were included for no additional consideration. The Form 4 filed on September 11, 2007 erroneously included this number as 190,000. Takes into account a 30 for 1 reverse stock split effected on June 14, 2007. The 25,000 shares of Convertible Preferred Stock were converted into 83,333.33 shares of Common Stock. The Convertible Preferred Stock was convertible at any time at the holder's election (3.33 Common shares for each Preferred share, after taking into account the stock split referred to in footnote 3), and had no expiration date. The Form 4 filed on September 11, 2007 failed to indicate that the 90,000 Warrants were cancelled in consideration for one share of Common Stock.
