(1)  In connection with Stephen Riggio's agreement to move from Chief Executive Officer of the Issuer to
     Chief Executive Officer of Barnes & Noble, Inc., Mr. Riggio agreed to the cancellation of the
     above-described stock options.

(2)  Represents the total number of stock options (right to buy) beneficially owned by the Reporting Person
     with respect to the Issuer's Common Stock.
