Item 8.01.  Other Events.

On November 20, 2006, Goldleaf Financial Solutions, Inc. (“Goldleaf”) issued a press release announcing the appointment of Robert McCabe as Chairman of Goldleaf’s Board of Directors.  Mr. McCabe served as a member of Goldleaf’s Board of Directors prior to his appointment as Chairman. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
