(the “Combined Company”), in connection with the transactions contemplated by the Agreement and Plan of Merger and Reorganization, dated as of April 17, 2022 (as subsequently amended, the “Merger Agreement”), as further described in the proxy statement/prospectus that forms a part of this Registration Statement.
(2) Estimated solely for the purpose of calculating the registration fee required by Section 6(b) of the Securities Act and computed pursuant to Rule 457(f)(2) under the Securities Act based on $2.54, the average of the high and low prices of shares of the common stock of FSI, par value $0.001 per share (“FSI Common Stock”), as reported on the NYSE American on July 19, 2022.
