Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 17, 2009, Joel B. Bullard, Jr. notified the Company that he will not stand for re-election to the Board of Directors when his term expires in April 2009.  Mr. Bullard has been a director since 1994 and is currently serving as Chairman of the Nominating and Corporate Governance Committee and a member of the Executive Committee.
