Item 8.01    Financial Statements and Exhibits.

On February 21, 2007, two institutional holders of House of Taylor Jewelry, Inc. Convertible Notes converted their entire note holdings for a total of $1,500,000 in the aggregate.  The Company issued a total of 375,000 shares upon the conversion and paid approximately $180,000 of Make-Whole Amounts as defined in the Notes.
