This Amendment No. 2 amends and supplements the following Items of the Statement on Schedule 13(d) (the “Schedule 13D”) of Boss II, LLC, Apollo Investment Fund IV, L.P. (“AIF IV”), Apollo Overseas Partners IV, L.P. (“AOP IV”), Apollo Advisors IV, L.P. and Apollo Management IV, L.P. (collectively, the “Reporting Persons”) originally filed on March 3, 2000 with the Securities Exchange Commission and amended on June 27, 2002, with respect to shares of 7.25% Convertible Participating Preferred Stock of Encompass Services Corporation (the “Issuer”), par value $0.001 per share (the “7.25% Participating Preferred Stock”), the Series C Convertible Participating Preferred Stock, par value $0.001 per share (the “Series C Participating Preferred Stock”) and Common Stock of the Issuer, par value $0.001 per share (the “Common Stock”). Unless otherwise indicated, all capitalized terms used but not defined herein have the meanings set forth in the Schedule 13D.
 
ITEM 5. INTEREST IN THE SECURITIES OF THE ISSUER
 
Item 5 is hereby amended and restated as follows:
 
(a)    The Reporting Persons’ beneficial interest and voting power in the Issuer immediately following the consummation of the sale is approximately 3.3% inasmuch as the Reported Persons sold 230,530 shares of the 7.25% Participating Preferred Stock for $100.00 on December 19, 2002, pursuant to a privately negotiated transaction in the United States of America. The warrants to purchase Common Stock held by the Reporting Persons expired by their terms in November 2002.
 
(b)    The number of shares of Common Stock as to which there is sole power to vote or to direct the vote, shared power to vote or to direct the vote, sole power to dispose or direct the disposition, or shared power to dispose or direct the disposition for the Reporting Persons is set forth in the cover pages and such information is incorporated herein by reference.
 
(c)    Except for the transactions disclosed in (a) above, there have been no transactions with respect to the Shares since October 23, 2002 (60 days prior to the date hereof) by any of the Reporting Persons.
 
(d)    Not applicable.
 
(e)    The Reporting Persons ceased to be the beneficial owner of more than five percent of the Common Stock of the Encompass Services Corporation on December 19, 2002.
 
ITEM 6. CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO SECURITIES OF THE ISSUER.
 
Item 6 is hereby amended and supplemented as follows:
 
Immediately prior to the sale of the 7.25% Participating Preferred Stock, two of the three Reporting Person’s designees to the Issuer’s Board of Directors resigned from their positions on such Board and the Reporting Persons designated the purchaser of such shares as a board member. The Reporting Persons disclaim beneficial ownership of all the shares sold to such person. Following the sale of the 7.25% Convertible Preferred Stock the Reporting Persons have no further right to designate any board members.
