ITEM 8.01 OTHER EVENTS.

On August 24, 2009, Versa Card, Inc. (the “Company”) entered into a Medical Services Agreement (the “MSA”) with Northshore Orthopedics, Assoc., a Texas professional association (“NSO”), to open its first spine injury treatment center in Houston, Texas.  Pursuant to the MSA, NSO will operate as an independent contractor for the Company to provide medical diagnostic services for evaluation and treatment of patients with spine injuries.  The MSA has a term of 1 year, and thereafter will automatically renew for 3 year periods, unless earlier terminated by either party.  NSO is owned by the Company’s Chief Executive Officer, William Donovan, M.D.
