FUND VOTING REPORT 811-08879 811-08879 549300QPPZUNGK3D0K61 Y During the reporting period, the MFS Conservative Allocation Portfolio, the MFS Growth Allocation Portfolio, and the MFS Moderate Allocation Portfolio, each a series of the Registrant (collectively, the "top tier funds") voted at the November 14, 2024 shareholder meetings of certain other investment companies registered under the Investment Company Act of 1940, as amended, and sponsored by MFS (each, an "Underlying MFS Fund" and collectively, the "Underlying MFS Funds"). To address any potential conflicts of interest on the part of MFS that could arise from MFS voting shares of the MFS Underlying Funds on behalf of the top tier funds, MFS voted these Underlying MFS Fund shares in the same proportion as the other shareholders of the respective MFS Underlying Fund. Additionally, the top tier funds voted at the June 18, 2025 meeting of the MFS Growth Series, a series of MFS Variable Insurance Trust and MFS voted these shares in the same manner as described above (i.e., "mirror voting").
