On July 6, 2004, 10,519,419 Shares or 80% of the 13,149,274 Shares formerly held for the account of M&M was sold for the account of Mexico Strategic Investment Fund Ltd., a Cayman Islands corporation ("MSIF"). M&M is owned 80% by MSIF and 20% by Madera LLC, a Delaware limited liability company ("Madera"). The remaining 2,629,855 Shares, representing Madera's pro-rata 20% interest in M&M was distributed to Madera. The Reporting Person had served pursuant to a contract as the principal investment manager of MSIF and, as such, may be deemed to have had voting and dispositive power over the Shares held for the account of M&M. In connection with the foregoing, the Reporting Person's service as investment manager was terminated with regard to the Shares and the Reporting Person no longer may be deemed to be the beneficial owner of any Shares.
