Item 1.01 Entry into a Material Definitive Agreement.

On May 20, 2010, AMERIGROUP Corporation, through its subsidiary, AMERIGROUP Tennessee, Inc., received an executed amendment, Amendment No. 5 (the "Amendment"), to the Contract Risk Agreement (Contract Number: FA-07-16936-00) between the State of Tennessee and AMERIGROUP Tennessee, Inc. The Amendment, among other things, establishes rates for services provided under the long-term care program, CHOICES, effective March 1, 2010 and incorporates the capitation rates for the existing programs effective for the period July 1, 2009 through June 30, 2011 into the Contract Risk Agreement. The capitation rates for the existing programs were previously filed as Exhibit 10.1 to our Current Report on Form 8-K filed on December 30, 2009.
