Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2007, AMERIGROUP Corporation (the "Company") appointed Margaret M. Roomsburg as its Principal Accounting Officer. Ms. Roomsburg, age 47, has been an employee of the Company since 1996 and has served as the Company’s Controller since prior to 2001. Ms. Roomsburg is a graduate of Old Dominion University and is a Certified Public Accountant in Virginia. Ms. Roomsburg’s title will be Senior Vice President & Chief Accounting Officer. Ms. Roomsburg succeeds Kathleen K. Toth, Executive Vice President, in the role of Principal Accounting Officer, a position which Ms. Toth had held since 1995.
