DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 2 relates to the following Registration Statement on Form S-3 (the “Registration Statement”), originally filed by Westmoreland Coal Company (the “Company”) with the Securities and Exchange Commission (the “SEC”) to terminate all offerings under the Registration Statement and to deregister any and all securities that remain unsold under the Registration Statement:

 

 

Registration Statement on Form S-3 (No. 333-195847), pertaining to the registration of 700,000 shares of the Company’s common stock held by certain selling security holders to be sold from time to time as amended by Post-Effective Amendment No. 1 filed with the SEC on May 9, 2014.

On October 9, 2018, the Company and certain of its subsidiaries, (collectively, the “Debtors”), filed voluntary petitions for relief under chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the Southern District of Texas. The Debtors’ chapter 11 cases are being jointly administered and are captioned In re Westmoreland Coal Company, et al (the “Chapter 11 Cases”).

As a result of the Chapter 11 Cases, the Company has terminated all offerings of securities pursuant to the Registration Statement. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any securities that remain unsold at the termination of each offering, the Company hereby removes from registration any and all securities registered but unsold under the Registration Statement, if any, as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities and the Company hereby terminates the effectiveness of the Registration Statement.
