ITEM 8.01  OTHER EVENTS

         On July 20, 2006, we issued a press release announcing that we have
formed a new division to be known as Ckrush Digital Media to focus on the
convergence of entertainment and digital technologies and to capitalize on the
growth of new media and the participatory pop culture of online communties and
digital technologies. A copy of the press release is attached as an exhibit to
this report.

         On July 21, 2006, we issued a press release announcing the launch of
LiveMansion.com, an advanced online social networking website created to harness
the burgeoning influence of youth-oriented online communities and to capitalize
on cross-marketing opportunities. A copy of the press release is attached as an
exhibit to this report.

         On July 25, 2006, we issued a press release announcing the launch of
Live Mansion: The Movie. A copy of the press release is attached as an exhibit
to this report.
