5.02 (b) At the March 28, 2008 Board of Directors’ Meeting the Board accepted the resignation of Kenneth Cancellara from the positions of Director and Executive of Veridien Corporation. The resignation did not result from a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
