The exercise price of iPass stock options will be equal to the exercise price of the GoRemote options divided by .225. The option to purchase vests in even monthly installments commencing one month from vest commencement date. Disposed of pursuant to the merger agreement between GoRemote Internet Communications, Inc. and iPass, Inc. in exchange for $1.71 in cash per share, without interest, for each share of GoRemote common stock outstanding on the effective date of the merger.
