Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(d) Effective July 24, 2008, John L. Wagner was elected to the Board of Directors of Washington Banking Company. Wagner has been a director of its wholly-owned subsidiary, Whidbey Island Bank, since April 2007. Mr. Wagner is currently the President & CEO of Whidbey Island Bank and serves on the Bank’s Loan Committee.
