Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Satish Maripuri, the Chief Operating Officer of the Company, has submitted his resignation as Chief Operating Officer and from the Company effective September 24, 2010, in order to accept a senior position at a public company outside of Lionbridge’s industry. Mr. Maripuri’s duties will be assumed by the members of Lionbridge’s existing management team.
