Item 5.02(b).   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

On June 14, 2007, Keystone Automotive Operations, Inc., or the “Company,” announced that Joseph Sponholz notified the Company that he will resign from his position as Vice President, e-Commerce, Export and Business Development. Mr. Sponholz has resigned in order to spend more time with his family. His last day of employment with the Company will be June 29, 2007. Patrick Judge, the Company’s Exective Vice President, Process Improvement and Compliance, will assume interim leadership of the e-Commerce and Export Groups until a new leader is announced.
